4. Eligibility and Authority

The Service is available only to businesses and individuals who

Are legally permitted to operate their business
Have authority to enter into contracts on behalf of the business
Maintain an active Instagram business account

By using the Service you confirm that you meet these requirements.

5. Client Responsibilities

The Client agrees to

Provide accurate and complete onboarding information
Ensure that all rewards promotions or offers are honoured
Comply with applicable laws regulations and platform rules
Use customer data responsibly and lawfully
Maintain the quality and legality of their business operations

Brand Amplify is not responsible for the Client’s failure to fulfil customer promises or regulatory obligations.

6. Platform Dependency and Limitations

Brand Amplify relies on third party platforms to deliver its services.

Brand Amplify does not control platform availability functionality or policy changes.

Service performance may be affected by changes interruptions or restrictions imposed by any Platform.

Brand Amplify shall not be liable for any loss arising from such platform related issues.

7. Fees and Payment Terms

Fees are payable as agreed in writing or through the selected plan.

All fees are exclusive of applicable taxes unless stated otherwise.

Failure to make timely payment may result in suspension or termination of services.

8. No Guarantee of Results

Brand Amplify does not guarantee any specific business outcome including

Increase in followers
Increase in reviews
Sales revenue or profit

Results depend on multiple factors including customer behaviour business quality and platform algorithms.

9. Data Protection and Privacy

Brand Amplify processes personal data in accordance with its Privacy Policy and applicable data protection laws.

The Client remains the data controller for customer data collected through the Service.

Brand Amplify acts as a service provider and processes data only on documented instructions.

10. Intellectual Property

All software processes workflows trademarks and materials provided by Brand Amplify remain its intellectual property.

Clients receive a limited non exclusive non transferable right to use the Service during the term.

Clients may not copy modify reverse engineer or resell any part of the Service.

11. Confidentiality

Each party agrees to keep confidential any non public information received from the other party.

Confidential obligations survive termination of the Service.

12. Limitation of Liability

To the maximum extent permitted by law Brand Amplify shall not be liable for

Indirect incidental or consequential damages
Loss of profits data or business opportunities
Platform related interruptions or failures

Brand Amplify’s total liability shall not exceed the fees paid by the Client in the three months preceding the claim.

13. Indemnification

The Client agrees to indemnify and hold harmless Brand Amplify from claims arising out of

Breach of these Terms
Violation of applicable laws
Misuse of customer data
Failure to honour rewards or promotions

14. Termination

Either party may terminate the Service by providing written notice.

Brand Amplify may suspend or terminate access immediately in case of misuse unlawful activity or non payment.

Termination does not affect accrued obligations.

15. Modifications to Terms

Brand Amplify may update these Terms of Service from time to time.

Updated terms will be published on this website.

Continued use of the Service constitutes acceptance of the revised terms.

16. Governing Law and Jurisdiction

These Terms of Service shall be governed by and interpreted in accordance with the laws of India.

The courts of Goa India shall have exclusive jurisdiction over any disputes.
